Terms of Service

1. The Service

Delatte Reviews provides managed Google review response services to local businesses ("Service"). The Service includes:

• Monitoring your Google Business Profile for new reviews
• Generating personalized response drafts in your business's voice
• Posting responses to your Google Business Profile within 24 hours
• Monthly performance reporting

The Service requires you to add Delatte Reviews as a Manager on your Google Business Profile, granting us permission to read and respond to reviews on your behalf.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Own or be authorized to act on behalf of the business you're enrolling
• Have a valid Google Business Profile in good standing
• Provide accurate and complete information during signup
• Have the authority to grant us Manager access to your Google Business Profile

3. Account and Subscription

Account Creation

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Subscription Pricing

The standard subscription rate is $350 per month per business location. Pricing may vary based on review volume, multi-location arrangements, or custom service tiers. Specific pricing for your account will be confirmed in writing at the time of onboarding.

Billing

Subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your provided payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time by contacting us at derek@delattereviews.com or calling (504) 401-7070. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial months unless required by law.

Failed Payments

If a payment fails, we will notify you and attempt to charge again. If payment is not received within 14 days, we may suspend or terminate your account.

Price Changes

We may change subscription pricing with at least 30 days' written notice to your account email. Continued use after a price change constitutes acceptance.

4. Your Responsibilities

You agree to:

• Provide accurate information about your business
• Grant and maintain Manager access on your Google Business Profile
• Participate in onboarding, including providing tone profile information
• Comply with Google Business Profile policies and applicable laws
• Notify us promptly of any concerns with our responses
• Pay all fees owed under your subscription
• Use the Service only for legitimate business purposes

You are responsible for ensuring that your underlying business operations and your Google Business Profile content comply with Google's policies and applicable laws.

5. Our Responsibilities

We agree to:

• Monitor your Google Business Profile for new reviews
• Generate personalized response drafts in your business's voice
• Post responses to Google within 24 hours of new review notifications
• Maintain reasonable quality standards on all responses
• Maintain the confidentiality of your business information
• Notify you of any significant service interruptions
• Provide monthly performance reports

We do not guarantee specific business outcomes, including (but not limited to):

• Specific improvements in Google search ranking
• Specific increases in customer bookings or revenue
• Specific star rating improvements
• Specific review volume increases

Many factors affect online reputation and search ranking that are outside our control.

6. Content and Intellectual Property

Your Content

You retain ownership of all content you provide to us, including business information, tone profile, and any specific guidance you give us. By providing this content, you grant us a non-exclusive license to use it for the purpose of providing the Service.

Our Content

The Service, including software, design, and content created by us, is owned by Delatte Reviews and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without permission.

Review Responses

Responses we post on your behalf become part of your Google Business Profile and are owned and controlled by you and Google (subject to Google's terms). You have full authority to edit, delete, or modify any response we post.

7. AI-Generated Content

The Service uses artificial intelligence to generate response drafts. You understand and acknowledge that:

• AI-generated content is reviewed for quality but is not guaranteed to be free of errors
• We use AI models from Anthropic and other providers; AI capabilities may change over time
• We will not knowingly post responses that contain false statements, defamatory content, or content that violates Google's policies
• If you find any posted response unsatisfactory, you may request edits or removal, and we will respond within 24 hours

8. Limitations of Liability

To the maximum extent permitted by law:

• We provide the Service "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising out of these Terms is limited to the amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow these limitations, so they may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Delatte Reviews from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use of the Service
• Content you provide to us, including business information and tone preferences

10. Termination

By You

You may terminate your account at any time by cancelling your subscription and removing us as a Manager from your Google Business Profile.

By Us

We may suspend or terminate your account if:

• You violate these Terms
• You fail to pay subscription fees after appropriate notice
• We are required to do so by law
• Continued service would expose us to legal or operational risk

Effect of Termination

Upon termination:

• We will stop posting new responses
• You should remove us as a Manager from your Google Business Profile
• We will retain your information per our Privacy Policy
• Any outstanding fees remain due

11. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable advance notice of material changes that affect your subscription.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on our website with a new "Last Updated" date
• Sending an email to your account email address for material changes

Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Louisiana, United States, without regard to its conflict of laws provisions. Any disputes shall be resolved in the state or federal courts located in Jefferson Parish, Louisiana.

14. Dispute Resolution

Before filing any legal claim, you agree to first attempt to resolve disputes informally by contacting us at derek@delattereviews.com. We will attempt to respond within 14 days. If the dispute cannot be resolved informally, you may pursue legal remedies subject to the limitations in these Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Delatte Reviews regarding the Service.
